The following terms and conditions document is a legal agreement between Centrox and client for the purposes of website management services.
Website Design
- Centrox design websites in accordance with the client’s specifications. It is the client’s responsibility to ensure that the website and its content comply with standing regulations. Centrox cannot accept responsibility for any failure to comply with regulations related to accessibility, selling online or those related to a specific business or trade. Centrox can research this on the client’s behalf upon request, but in any business where complex compliance issues exist Centrox recommend that the client takes legal advice from their company lawyer.
- All website design, graphics, text, source code, scripts, functionality, software and all other material on a website created by Centrox are copyrighted to Centrox and will remain the property of Centrox at all times. Any use of materials on a website created by Centrox may not be copied, resold, modified, reprinted, republished, hosted or otherwise distributed by any means by either the client or any third party. Copyright rights may be transferred from Centrox to the client, usually at a cost of 50%-100% of website development costs.
- A copyright statement may be discreetly placed at the bottom of each web page plus a hyperlink to Centrox’s website.
Website Hosting
- Centrox aims to provide a website hosting service with an annual uptime of 99%+. Centrox is not responsible for any interruption of service, and accepts no liability for any loss of services, sales or any other form of loss due to interruption of service.
- Problems caused by malicious software, spyware, viruses and website hacking are a fact of life on today’s internet. It is highly unlikely that these will affect your website, and Centrox will endeavour to protect it from this as much as we can during its creation, but after the website is handed over we cannot be held responsible for problems caused by illegal activity or the actions of others.
- Centrox make no representation and give no warranty as to the accuracy or quality of information received by any person via the server and Centrox shall have no liability for any loss or damage to any data stored on the server.
- Centrox reserve the right to refuse to serve the needs of an existing user making inappropriate or unreasonable use of our services. Inappropriate or unreasonable includes, but is not limited to, materials whose nature and/or volume compromises the ability of Centrox’s servers to serve other users' web presence, unreasonable consumption of disk space, internet link bandwidth, CPU, and memory usage.
- Centrox carry out weekly remote backups of client websites. Centrox will accept no liability for any loss. It is strongly advised to backup all of your files locally on a regular basis depending on how often you update your web site.
- Centrox provide no guarantee that third-party software will run on the servers we operate.
Email Service
- Centrox provides an email hosting service.
- The use of our servers to send bulk email, whether opt-in or otherwise, and the use of bulk email to promote a site on our network is strictly forbidden.
Website Domain
- Centrox do not warrant or guarantee that the domain name applied for will be registered in your name or is capable of being registered by you. Accordingly, you should take no action in respect of your domain name(s) until you have been notified that your domain name has been successfully registered.
- Both the registration of the domain name and its ongoing use subject to the relevant authority's terms and conditions use and you are responsible for ensuring that you are aware those terms and conditions and can and do comply with them.
- Centrox accept no responsibility in respect of the use of a domain by you and any dispute between you and any other individual organisation regarding a domain name must be resolved between parties concerned and we will take no part in any such dispute.
Termination of services
- A 30 day written notification must be received to terminate services provided by Centrox. In order to terminate services, all invoices must be fully paid.
- Should you want to transfer material created by Centrox to another provider, please point 2 under 'Website Hosting'.
Privacy
- We do not share or sell any of your details with third party companies, without your express permission.
Variation
- Centrox reserves the right to change or modify any of these terms or conditions at any time. Should clarification of any of the above be required please contact us.
